# Terms of Service for nimchat

Welcome to **nimchat**.

These Terms of Service (“Terms”) govern your access to and use of the nimchat software, website, and services (collectively, the “Service”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

### 1. Description of Service
nimchat provides integration, automation, and data synchronization services primarily designed to connect your ManyChat account with your Salesforce account. nimchat facilitates the transfer, mapping, and management of data between these third-party platforms.

### 2. Third-Party Services and Account Requirements
To use nimchat, you must have active and valid accounts with ManyChat and Salesforce.
* **No Affiliation:** nimchat is an independent application. We are not affiliated with, endorsed by, or sponsored by ManyChat, Inc. or Salesforce.com, Inc.
* **Third-Party Terms:** Your use of ManyChat and Salesforce is governed by their respective Terms of Service and Privacy Policies. You agree to comply with all rules and regulations of those third-party platforms.
* **API Access:** You grant nimchat the right to access your ManyChat and Salesforce accounts via API to perform the integration services. You are responsible for maintaining the necessary API limits, permissions, and security tokens required for nimchat to function.

### 3. Account Registration and Security
* You must provide accurate, current, and complete information during the registration process.
* You are responsible for maintaining the confidentiality of your nimchat login credentials.
* You are entirely responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.

### 4. Data Privacy and Security
* **Your Data:** We claim no ownership rights over the data you process through nimchat (e.g., customer leads, chat transcripts, CRM records).
* **Data Processing:** By using nimchat, you grant us a worldwide, non-exclusive, royalty-free license to transmit, process, and temporarily store your data solely for the purpose of providing the Service.
* **Privacy Policy:** Our data collection and use policies are outlined in our [Privacy Policy Link]. By using nimchat, you agree to the terms of our Privacy Policy.
* **Compliance:** You represent and warrant that you have all necessary rights, consents, and legal bases (including compliance with GDPR, CCPA, etc.) to collect and transfer data from ManyChat to Salesforce via nimchat.

### 5. Acceptable Use
You agree NOT to use the Service to:
* Transmit illegal, harmful, sensitive, or prohibited data (e.g., unauthorized Personal Health Information/HIPAA data, unencrypted credit card details) unless specifically supported and agreed upon.
* Violate the Terms of Service or API usage policies of ManyChat or Salesforce.
* Interfere with or disrupt the integrity or performance of the Service.
* Attempt to gain unauthorized access to the Service or its related systems or networks.

### 6. Subscription, Billing, and Payments
* **Fees:** Certain features of nimchat are provided for a fee. You agree to pay all applicable fees related to your subscription plan.
* **Billing Cycle:** Subscription fees are billed in advance on a recurring basis (e.g., monthly or annually) and are non-refundable, except as required by law.
* **Changes to Fees:** We reserve the right to change our pricing at any time. We will provide notice of any price changes at least 30 days before the next billing cycle.

### 7. Intellectual Property
All rights, title, and interest in and to the nimchat Service (excluding User Data and Third-Party Platforms), including all intellectual property rights, are and will remain the exclusive property of nimchat and its licensors. You may not copy, modify, or reverse-engineer any part of the Service.

### 8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NIMCHAT, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

nimchat is not liable for any data loss, workflow disruption, or account suspension resulting from changes, downtimes, or API deprecations applied by ManyChat or Salesforce.

### 9. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. NIMCHAT EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE INTEGRATION WILL BE ERROR-FREE OR UNINTERRUPTED.

### 10. Termination
* **By You:** You may terminate your account at any time by canceling your subscription in your account settings.
* **By Us:** We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
* **Effect of Termination:** Upon termination, your right to use the Service will immediately cease, and data synchronization will stop.

### 11. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

### 12. Governing Law
These Terms shall be governed and construed in accordance with the laws of Iran, without regard to its conflict of law provisions.
